Terms and Conditions

Preamble

The Platform is owned by Let’s Donation S.r.l. (hereinafter, the “Company”), with registered office in Bologna, Via Indipendenza 22, registered with the Bologna Companies Register under Tax Code and VAT No. 03188581205.

The Company operates, through the website www.letsdonation.com and customer websites such as www.companyname.letsdonation.com and www.beneficiaryname.org.letsdonation.com, a platform (hereinafter, the “Platform”) dedicated to Corporate Social Responsibility, through which companies or beneficiaries may acquire a licence to use the Platform in order to access a customised and exclusive platform.

By accessing the Platform, the registration page and completing the registration form, the User accepts the general and specific terms and conditions of the service.

The service is completely free of charge for the User. The use of the service is subject solely to the User’s registration and compliance with these Terms and Conditions.

The data provided by the User will be processed in accordance with the privacy policy applicable to the company published on the Platform and will be electronically stored by the Company. The User may access such data at any time in order to delete or modify it, as provided for in the Company’s applicable Privacy Policy.

Connection to and access to the Platform imply the User’s full and unconditional acceptance of all provisions contained in these Terms and Conditions.

The User may propose new entities, organisations, foundations, associations, institutions or other organisations so that they may publish new social projects to be supported, subject to the following conditions:

  • the proposed entity must pursue purposes consistent with the initiatives promoted on the Platform, including, by way of example, social and social-healthcare assistance, healthcare assistance, charitable activities, education, training, amateur sports, protection and enhancement of artistic and historical heritage, environmental protection and enhancement and animal protection, promotion of culture and the arts, protection of civil rights, scientific research of particular social interest, or other purposes of general interest;
  • the proposed entity must be legally entitled to receive donations and must meet the requirements established by applicable law;
  • where applicable, the proposed entity must have articles of incorporation, bylaws or another equivalent document capable of demonstrating its legal nature and the purposes pursued;
  • the proposed entity must provide Let’s Donation with any documentation requested for the purposes of the checks required for activation on the Platform.

The mere presence or publication of an entity on the Platform does not constitute any statement, certification or guarantee by Let’s Donation regarding its legal, tax or fiscal status.

These general Terms and Conditions may be updated, supplemented or amended by the Company at any time, with effect for the future. The Company will notify Users of such changes through the Platform.

Definitions

User: any person who, by using the Platform (by entering the URL or through a link, banner, social network, etc.), completes the registration form with the requested information in order to support the projects published on the Platform.

Beneficiary: the entity, organisation, foundation, association, institution or other organisation, having independent legal personality and/or legal capacity to receive donations, identified on the Platform as the recipient of the funds collected through Let’s Donation.

The Beneficiary may include, by way of example and without limitation:

  • a) a Third Sector Entity (“Ente del Terzo Settore” - ETS) registered with the National Single Register of the Third Sector (“Registro Unico Nazionale del Terzo Settore” - RUNTS);
  • b) a legally recognised foundation or association not registered with RUNTS;
  • c) a religious entity recognised under Italian civil law, within the limits and in accordance with the procedures established by applicable law;
  • d) an institution, entity or organisation which, although not qualifying as a Third Sector Entity, is legally entitled to receive donations and pursues purposes consistent with the initiatives promoted on the Platform;
  • e) any other entity which, following verification by Let’s Donation, is found to be legally entitled to receive the funds collected.

The absence of the Beneficiary’s registration with RUNTS does not, in itself, constitute grounds for exclusion from the Platform, provided that the Beneficiary meets the legal and tax requirements necessary to receive the funds and provides Let’s Donation with the documentation requested for verification purposes.

Let’s Donation reserves the right not to activate, suspend or deactivate a fundraising campaign if, based on the available documentation, it believes that the entity identified as Beneficiary does not meet the requirements necessary to receive the funds or that the relevant initiative does not comply with applicable law.

Beneficiary Status and Tax Treatment

The publication of a Beneficiary on the Platform does not constitute any statement or certification by Let’s Donation concerning the Beneficiary’s status as a Third Sector Entity, registration with RUNTS, applicable tax regime, or the tax deductibility or tax credit eligibility of the amounts paid.

Any possibility for the donor to benefit from tax credits, deductions or other tax benefits depends exclusively on the legal nature of the Beneficiary, the purpose of the donation, the payment method used and the applicable tax legislation in force.

The donor is therefore responsible for verifying, including with their own tax adviser where appropriate, the tax treatment applicable to the specific donation.

Verification of the Beneficiary

Before activating a fundraising campaign, Let’s Donation may request the Beneficiary to provide:

  • articles of incorporation and bylaws;
  • certification or documentation evidencing legal personality, where applicable;
  • tax identification number and VAT number;
  • details of the legal representative;
  • bank account details held in the name of the Beneficiary;
  • documentation concerning the purpose and intended use of the funds raised;
  • any documentation evidencing registration with public registers, where applicable.

The Beneficiary warrants that the information and documentation provided to Let’s Donation are truthful, complete and up to date.

Nature of Let’s Donation’s Activities

Let’s Donation provides a technological infrastructure for the management, promotion, collection, accounting and reporting of donations intended for Beneficiaries.

Unless otherwise agreed in writing, Let’s Donation does not acquire ownership of the funds collected as donations and does not act as the beneficiary of such funds.

The funds collected are allocated to the Beneficiary in accordance with the procedures and timeframes set out in these Terms and Conditions and any specific agreements entered into with the Beneficiary.

The Beneficiary is responsible for using the funds received in compliance with applicable law and with the purpose indicated for the relevant initiative.

Projects

All information relating to Projects is prepared by the entity promoting or publishing the Project and/or by the Beneficiary, according to the role held in the specific initiative. The Company assumes no responsibility for the accuracy or truthfulness of the information provided.

As a general rule, information relating to a particular Project is published for an indefinite period, without prejudice to the right of the entity that published it to delete it. The Company reserves the right to discontinue publication and the collection of donations without prior notice where there is just cause.

Relations concerning the donation and the Project are governed by the structure and procedures applicable to the specific initiative. The Beneficiary is the recipient of the funds collected, unless otherwise provided by these Terms and Conditions or by specific agreements.

The Company is under no obligation to verify the implementation of Projects and shall not be liable for them in any way. More generally, to the extent permitted by law, the Company assumes no obligation or liability towards Users in relation to the Beneficiary, its conduct, the management of the funds received or the implementation of the Project.

Settlement of Funds Collected

The funds collected on behalf of Beneficiaries shall be settled within 30 days following the end of each calendar quarter, namely by 30 April, 30 July, 30 October and 30 January of the following year, provided that the total amount accrued and payable is equal to or greater than EUR 50.00.

Settlement shall be made by bank transfer to the IBAN of the Beneficiary indicated and verified in the Platform records.

If, at the end of the relevant quarter, the total amount accrued in favour of the Beneficiary is less than EUR 50.00, such amount shall be carried forward to the following quarter until the minimum threshold of EUR 50.00 is reached.

A) CROWDFUNDING - DONATION METHODS

WORLDLINE

A.1 Donations may be made by credit card, Apple Pay, Google Pay, Satispay, PayPal and MyBank payment systems operated by Worldline, a global leader in digital payments. Further information is available on www.paypal.it and https://worldline.com/it-it/home. The Company assumes no responsibility for the operation of the above-mentioned payment systems.

A.2 Payments are made in favour of the Beneficiary identified for the published Project. In such case, for each successful donation made through the Platform, the User simultaneously grants the Company an irrevocable mandate with representation to transfer, in accordance with the procedures agreed with the Beneficiary, the amount corresponding to the donation, net of applicable management and transaction costs.

A.3 The Beneficiary may establish a maximum fundraising target for a specific Project. A minimum amount for individual donations may also be established, as well as a deadline by which donations must be collected.

B) CHARITY SHOP

B.1 The Charity Shop service allows Users to freely browse the published listings, including:

  • listings in the Charity E-Commerce section;
  • Gift Card listings.
Charity E-Commerce

B.1.1.1 The listings included in the Charity E-Commerce section relate to the online shops of partners affiliated with Buy-On. The service is provided by Imnoko S.r.l., VAT No. IT02167140512, with registered office at Via Giuseppe Garibaldi 97, 52100 Arezzo (AR), Italy. The terms and conditions applicable to such service are available at https://www.buyon.it/condizioni.

The Platform enables Beneficiaries to raise donations for their projects when their supporters make purchases from the above-mentioned online shops. In order to generate a donation in favour of a published project, the User must access the relevant partner online shop through the Platform.

B.1.1.2 When a User, after being redirected to the website of an affiliated partner, completes a purchase, the User accrues a discount from the affiliated partner. For each successful purchase made through the Platform, the User simultaneously grants the Company an irrevocable mandate with representation to transfer, in accordance with the instructions received from the Beneficiary, the amount corresponding to the portion of the purchase price that the affiliated partner has declared available as a discount.

The Company has no control over the commercial policies of affiliated merchants and shall not be liable for changes to discounts. The amount allocated shall be transferred in accordance with the operational procedures of the Platform and shall be allocated to the relevant donation in favour of the Beneficiary, in compliance with applicable law.

After the purchase has been completed, the User will receive an email notification of the cashback accrued, which may also be viewed in the User’s personal area under the “e-commerce” section.

In order to be donated, the Cashback must become available and will then be shown in the relevant counter.

The Company uses its best efforts to ensure that the discount allocation system operates correctly, but cannot guarantee and shall not be liable for discounts that are not recorded or for any failure by affiliated companies to comply with their obligations.

In general, information concerning commercial transactions is published on the same day on which the User completes the payment. However, this timeframe depends on each Partner. If, as a registered User, you find within 5 business days that the cashback has not been accrued, you must contact the support service at support@buyon.com and provide details of your purchase.

In any email requesting assistance in resolving a transaction error, you should include the following information, which can be found on your purchase receipt: Partner name, purchase date, order/purchase number, items purchased, total price, payment method used (do not provide any credit card number), and the contact information provided to the Partner, including name, address, email address and telephone number.

The Company shall not be liable for claims that are rejected.

B.1.1.3 Pursuant to the mandate referred to above, the Company undertakes to pay the Beneficiary owning the relevant beneficiary projects the discounts accrued and duly paid by the affiliated partner.

B.1.1.4 In certain limited circumstances beyond the Company’s control, the Company may be unable to complete the payment of discounts accrued for beneficiary projects. In particular:

  • the accrued discount is reversed by the affiliated partner because an item purchased is subsequently returned. If a transaction is reversed, the User does not accrue any discount from the affiliated partner and the Company is therefore unable to make the corresponding payment to the beneficiary project;
  • affiliated partners are unable to pay the accrued discounts. If, for any reason, an affiliated partner fails to pay the accrued discounts, the Company reserves the right not to make the donation to the beneficiary project on behalf of the User;
  • Partners are unable to confirm a commissionable transaction. A Partner may be unable to verify a transaction for a number of reasons, including, by way of example and without limitation, browser settings, corporate firewall settings, the Partner’s tracking infrastructure, and interactions with anti-cookie software installed by the User. The final decision regarding the validity and eligibility of a purchase for fundraising purposes remains with the Partner, its agents or third parties.
Gift Card Listings

B.1.2.1 Gift Card listings relate to gift cards issued by brands participating in the initiative, which offer Users the possibility of purchasing the available denomination while allocating the percentage indicated in the relevant listing as a donation.

B.1.2.2 Upon completion of the transaction, the User will receive, by email or directly through the User’s profile area, a link or alphanumeric code for the voucher to be used with the relevant brand.

B.1.2.3 The terms and conditions applicable to each gift card are indicated in the relevant listing.

B.1.2.4 Gift Cards are non-returnable and non-refundable.

C) INITIATIVES (EVENTS AND NOTICES)

The “Initiatives” section allows Users to apply for events or notices published by Beneficiaries or by the company itself.

“Events” means activities with a predetermined date, start and end time and, where applicable, shifts with a specified or unlimited number of participants. In some cases, participation in an event may require a minimum donation in support of a published project.

In such cases, interested Users may register to participate.

Upon registration, a confirmation email will be sent and the User may view their application directly in their personal area, where they may also cancel their registration.

“Notices” means activities that do not have an expiry date or a limited number of participants.

If interested, the User may register and track their registration directly through their personal area.

D) SOCIAL CONTESTS

The Social Initiatives module allows companies to use an innovative tool to engage their stakeholder network. Each social initiative is governed by specific Rules published on the relevant initiative webpage.

E) PAYROLL GIVING – PAYROLL DONATIONS

The Payroll Giving service allows an employee (hereinafter, the “Employee”) to make a one-off or recurring donation, deducted directly from their salary, in favour of one or more charitable entities selected through the Platform.

The Payroll Giving service involves the following parties:

  • the Employee, i.e. the employee who chooses to make a donation through a payroll deduction;

  • the Beneficiary, i.e. the recipient of the donation.
E2) Service Activation

The Payroll Giving service may only be activated following the Employer’s participation in the programme offered by the Company.

The Employee may activate the service by accessing the Platform, selecting the crowdfunding campaign and the donation amount (one-off or recurring).

Activation of the service by the Employee constitutes the Employee’s express authorisation to the Employer to deduct the specified amount directly from the Employee’s salary.

E3) Donation Amount and Frequency

The Employee may freely choose:

  • the donation amount, up to the maximum amount established by the Employer;
  • the frequency, either one-off or monthly.

Donations shall commence from the first eligible payroll following the date on which the donation is created, subject to the technical processing times required for payroll processing.

E4) Personal Area

The Employee may revoke a donation created in their personal area at any time.

The revocation shall take effect from the first eligible payroll cycle following the request, depending on the Employer’s payroll processing times.

Through their personal area, the Employee may track the entire process relating to payroll donations, from creation through to completion, i.e. payment to the Beneficiary.

Through their personal area, the Employee may download tax receipts for the purposes of claiming applicable tax deductions in their income tax return.

E5) Management of Donations

The Company is responsible for the administrative and technological management of the service, facilitating the transfer of the funds collected to the Beneficiaries.

The Company does not act as the beneficiary of the donations and does not retain donated funds, except for any service fees clearly indicated on the Platform and in this document.

In such cases, any benefits or incentives accrued may be cancelled.

F11) Term and Termination

Ranking positions shall be unique.

G4) Rewards and Award Conditions

At the end of the Challenge:

Following termination of the service, the obligations set out herein shall continue to apply to any outstanding relationships or obligations.

For the purposes of these Terms and Conditions, termination of the service means the User’s termination and deletion of their own account.

Tax Benefits of Donations

Information

Any tax credits, deductions or other tax benefits associated with donations made through the Platform depend on the legal nature and tax regime of the Beneficiary, the purpose of the donation, the manner in which the donation is made and the applicable tax legislation in force.

The possibility of making a donation through the Platform does not, in itself, imply that the relevant amount is eligible for a tax deduction or tax credit.

The publication of a Beneficiary on the Platform does not constitute any statement or certification by Let’s Donation concerning the Beneficiary’s tax status or the tax deductibility or tax credit eligibility of the donation.

Where provided for by applicable law and based on the information and documentation available, Let’s Donation may make available to the donor the documentation or receipt relating to the donation made.

The donor is responsible for verifying the requirements necessary to benefit from any tax credits, deductions or other tax benefits and, where necessary, shall verify their position with a tax adviser.

Any transmission of information relating to the donation to the Beneficiary or to the competent authorities for tax compliance purposes shall be carried out in accordance with applicable law and any authorisations required from the donor.
